Terms of Service

These terms govern your use of BeatHub Africa - a marketplace built to connect African producers with artists worldwide. Please read them carefully.

1. Acceptance of Terms

Welcome to BeatHub Africa. By creating an account, browsing the platform, or making a purchase, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use our platform.

These Terms constitute a legally binding agreement between you and BeatHub Africa ("we," "us," or "our"). We may update these Terms from time to time - when we do, we'll let you know via email or a notice on the platform. Continued use after changes take effect means you accept the updated Terms.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use BeatHub Africa. By using the platform, you confirm that you meet this requirement and have the legal capacity to enter into these Terms.

Users who represent a business, record label, or other legal entity confirm that they are authorized to bind that entity to these Terms.

3. Account Registration & Responsibilities

To access full platform features, you'll need to register for an account. You agree to provide accurate, complete, and current information during registration and to keep your account details up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you suspect unauthorized access to your account, please contact us immediately at support@beathubafrica.com.

BeatHub Africa reserves the right to suspend or terminate accounts that contain false information, violate these Terms, or are used in a manner that harms the platform or its community.

4. Marketplace Terms

How the Marketplace Works

BeatHub Africa is a marketplace that connects music producers ("Producers") with artists, content creators, and other buyers ("Buyers"). We facilitate transactions between these parties but are not a party to the underlying licensing agreement between a Producer and Buyer.

Producer Responsibilities

Producers are solely responsible for the content they upload, including its legality, originality, and accuracy. By listing a beat on the platform, Producers represent that they have the full right and authority to sell licenses for that content.

Buyer Responsibilities

Buyers are responsible for ensuring they understand the license they purchase and use their licensed content accordingly. Misuse of a purchased license - including exceeding the scope of allowed use - is a breach of these Terms.

Content Removal

BeatHub Africa reserves the right to remove any content that we believe, in our sole discretion, violates these Terms, infringes third-party rights, or is otherwise harmful or inappropriate. We will endeavor to notify the relevant Producer when content is removed.

5. Licensing & Purchases

License Types

Beats on the platform may be available under multiple license tiers - such as Basic (non-exclusive), Premium (non-exclusive with expanded rights), or Exclusive. The exact terms, permitted uses, and limitations vary per license type and are defined on each product's listing page.

Your Obligation to Review

Before completing a purchase, Buyers are responsible for reviewing the specific license terms attached to a beat. Completing a purchase constitutes acceptance of those license terms.

Finality of Purchases

Because our products are digital files delivered immediately upon payment, all purchases are generally final and non-refundable once the download link has been delivered. Please review your selection carefully before purchasing.

Exclusive Licenses

When a Buyer purchases an exclusive license, that beat will no longer be available for sale to other buyers going forward. Existing non-exclusive licenses sold prior to the exclusive purchase remain valid unless otherwise specified in the listing.

6. Payments & Fees

Payment Processing

Payments on BeatHub Africa are processed through third-party payment providers. By making a purchase, you agree to that provider's terms. BeatHub Africa does not store your full payment card details.

Platform Fees

We charge a commission on each sale made through the platform. This fee is deducted before payouts are made to Producers. Current commission rates are displayed in your Producer dashboard and may be updated with reasonable notice.

Refund Policy

Given the digital nature of our products, refunds are generally not offered once files have been accessed or downloaded. If you believe you have a legitimate dispute - such as a technical failure that prevented file delivery - please contact our support team and we will review your case in good faith.

Taxes

You are responsible for any applicable taxes arising from your transactions on the platform. Producers are solely responsible for reporting and remitting taxes on their earnings in their respective jurisdictions.

7. Producer Responsibilities

By uploading content to the platform, Producers confirm that they:

  • Own or hold all necessary rights to the beats they upload, including any samples, interpolations, or third-party elements included in the production.
  • Will not upload content that infringes on the intellectual property rights of any third party.
  • Will not upload stolen, plagiarized, or illegally obtained content.
  • Will provide accurate metadata, including beat title, BPM, key, and applicable tags.
  • Will keep their payout and account information current and accurate.
  • Accept sole liability for any claims arising from their uploaded content.

8. Intellectual Property

Producer Ownership

Producers retain full ownership and copyright of their beats unless an exclusive license agreement explicitly transfers those rights to a Buyer. Uploading content to the platform does not transfer ownership to BeatHub Africa.

Buyer Usage Rights

Upon completing a purchase, Buyers receive a limited, non-transferable license to use the beat in accordance with the terms of the purchased license tier. No additional rights are granted beyond what is explicitly stated.

BeatHub Africa Brand

All branding, visual design, copy, logos, and software on the BeatHub Africa platform are the intellectual property of BeatHub Africa and may not be reproduced, distributed, or used without our express written permission.

DMCA & Copyright Complaints

If you believe your copyrighted work has been listed on BeatHub Africa without authorization, please send a formal notice to support@beathubafrica.com with sufficient detail for us to investigate. We take copyright seriously and will respond promptly.

9. Prohibited Conduct

To keep BeatHub Africa a fair, safe, and thriving community, the following are strictly prohibited:

  • Uploading, selling, or distributing content you do not have rights to.
  • Engaging in fraud, misrepresentation, or deceptive practices of any kind.
  • Initiating fraudulent chargebacks or payment disputes.
  • Impersonating another user, producer, artist, or any third party.
  • Attempting to hack, reverse-engineer, or exploit any part of the platform.
  • Scraping, crawling, or data-mining the platform without our prior written consent.
  • Sending spam, unsolicited messages, or promotional content to other users.
  • Uploading or distributing malware, viruses, or harmful code.
  • Harassing, threatening, or abusing other users or platform staff.
  • Circumventing or attempting to circumvent any platform fees or security measures.

10. Account Security

You are responsible for maintaining the security of your account credentials. We strongly recommend using a strong, unique password and enabling two-factor authentication if available.

Please notify us immediately at support@beathubafrica.com if you become aware of any unauthorized access to your account or any other security concern. BeatHub Africa will not be liable for losses resulting from unauthorized use of your account where you have failed to take reasonable security precautions.

11. Disclaimers

BeatHub Africa is provided on an "as-is" and "as-available" basis. While we work hard to keep the platform running smoothly, we make no guarantees of uninterrupted, error-free service.

We do not guarantee any particular level of sales, earnings, or exposure for Producers using the platform. Results depend on many factors outside our control.

We are not responsible for the accuracy of beat metadata, the quality of individual listings, or the conduct of any Producer or Buyer on the platform.

12. Limitation of Liability

To the fullest extent permitted by applicable law, BeatHub Africa and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages - including loss of profits, data, or goodwill - arising from your use of the platform.

In any event, our total liability to you for any claim arising from or related to these Terms or your use of the platform shall not exceed the greater of (a) the total amount you paid to BeatHub Africa in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow certain limitations of liability. In such cases, the limitations above apply to the fullest extent permitted by local law.

13. Termination

We reserve the right to suspend or permanently terminate your access to BeatHub Africa at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, the platform, third parties, or our business interests.

You may also close your account at any time by contacting our support team. Upon termination, your right to use the platform ceases immediately. Any provisions of these Terms that by their nature should survive termination will do so.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Abuja, Nigeria, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Abuja, Nigeria.

If you are accessing the platform from outside Nigeria, you do so voluntarily and are responsible for compliance with local laws.
